Abstract

What a Chinese team sees as flexible, case-by-case adjustment is often read by overseas partners as erratic. This book examines the gap, and contractual remedies for it, with game theory, real options and organisational economics. It covers rule-based commitment and outcome-based adaptation, Hall's high and low context and Hofstede's dimensions with their methodological critics, and a Bayesian model showing that when the reasons for change cannot be seen, an adaptive partner cannot be told from an opportunist; binomial real options (committing at once is better at low volatility, staged entry above an annual volatility of about 0.3), optimal stopping solved with the Bellman equation (the optimal exit threshold rises as information accumulates and is more patient than a fixed three-month stop-loss) and the signalling game of exit (writing down a verifiable trigger in advance keeps an exit under the rule from damaging reputation); Grossman–Hart–Moore residual control and Baker–Gibbons–Murphy relational contracts, with formal, relational and hybrid governance compared across speeds of environmental change (the hybrid is best for cross-cultural partners under moderate uncertainty, relational governance alone when change is very fast); the stability condition of a delayed feedback loop and the cost of pivoting for brand assets; Kogut–Singh cultural distance, institutional distance, halal certification and Chinese business networks; and Holmström–Milgrom multitask incentives with a self-selecting contract menu.

The eight chapters are read beside the Art of War's chapters on weak points, stratagem and variation, the Book of Changes' "when exhausted, change" and "change follows the times", the Analects' "words must be kept, deeds carried through" and "promises close to what is right" with Mencius' "only where righteousness lies", and the covenant tradition, pacta sunt servanda and changed circumstances in the Vienna Convention on the Law of Treaties, noting the limits of such a reading. They end with a four-step contract alignment checklist and a pre-registered randomised vignette experiment comparing a fixed-target contract with a state-contingent contract that writes down a 90-day exploration period and stopping rules (co-primary outcomes: trust and perceived breach risk after the foreign party exits under the rules, each at alpha 0.025; 277 analysable and 347 recruited per arm). Marked boxes separate published evidence, runnable Python calculations (15 programs, all checked), classical sources and the author's hypotheses. This book is not legal, financial or investment advice.

Keywords: cross-cultural management; real options; optimal stopping; Bellman equation; signalling game; reputation; incomplete contracts; relational contracts; property rights; transaction costs; feedback delay; institutional distance; Kogut-Singh index; Southeast Asia; halal certification; multitask principal-agent; Art of War; vignette experiment
